Missions:
Ensuring compliance with applicable Laws and regulations and seeking to establish an appropriate coordination of the legal practices followed by the  Group, all within the framework of fulfilling the corporate interest and supporting a long-term business strategy that avoids legal risks and inefficiencies in the implementation of business decisions.
Overseeing BU’s daily legal work according to applicable Laws, Company standards and internal policies. Ensuring implementation of developments in the legal, regulatory and compliance environment, being fully committed to legal & compliance awareness and training.
Identifying gaps and/or legal risk exposure in contracts and operations as well as developing and implementing strong systems of control.
DESCRIPTION OF THE FUNCTION:
Supervise and coordinate the advice to all departments on legal issues.
Manage and supervise the establishment of policies that minimize legal risks.
Collaborate in the implementation of the Legal Policies of Group.
Supervise and Manage Declarations with Public Administrations (Banque Nationale, Licenses, Customs, import / export, Investment declarations, tax agency notifications etc ...)
Supervise and manage the design of the main strategic points to be adopted before a court in case of trials (in coordination with external lawyers).
Search, control, supervision and coordination of best in class external legal advisors in Algeria.
Manage and supervise the control of all legal documentation in Algeria that affects BU and its shareholders.
Safeguard the sensitive and confidential documentation of the company.
Know and understand local legislation to ensure a proper and diligent fulfillment of all Laws applicable to BU.
To supervise the formulation and approval of annual accounts.
Manage and Supervise the Creation of "framework" standardized contracts to the suppliers according to the Purchasing Department demands (purchase -sales of investment goods, raw materials, provision of services, general contracting conditions, relationship with suppliers ... etc) and to the Finance Department (financing agreements, bank guarantees, etc. ..).
Advice, drafting, review and validation of documents of the Purchasing Department.
Advice, review and validation of documents related to financing operations of BU, including intercompany operations (within Group) and operations with local authorities such as Banque National.
Manage and Supervise the Channeling of claims that affect BU.
Prepare, draft and review all contracts and legal documents that involve BU or its Shareholders, including the necessary documentation for the Boards of Directors and AGM.
Management and keeping of the Corporate Books, preparation of minutes and company certificates, annual accounts, etc.
Review and approve all legal documents before the signing of the BU legal representatives (including Managing Director).
Manage the different providers of external legal services (notaries, official registers, etc.) of BU.
Support and act as a link between the group HQ Legal & Compliance Department and BU.
Monitoring the implementation in BU of group policies in legal matters.
Supporting the Compliance Group function in Algeria.
Organize, classify, structure and update all the legal documentation of BU, with the aim of providing a complete and updated view of the same to the Group HQ Legal & Compliance Department.
Report incidences to the Group Legal & Compliance Manager.
EDUCATIONAL AND OTHER SPECIFIC TRAINING REQUIREMENTS
Law Degree
Member of any Algerian Bar Association to be allowed to practice legally in Algeria.
High level of English
Mother tongue French and Algerian.
At least 5 years of expertise in international legal practice (in an International Law Firm or in international companies).
Compliance programs experience.
